Terms of Service

These Terms of Service apply to your use of the services offered by Vaultt ("Vaultt," "we," "us," or "our"), including our platform, features, websites, tools, data, and documentation (collectively, the "Services").

If you do not agree with these Terms of Service, please discontinue using the Service.

These Terms of Service will change over time. If we make minor changes without materially changing your rights, we will post the updated Terms of Service on our website. We will notify you by email or through the Vaultt platform if we make a modification that materially changes your rights. When you use Vaultt after a modification is posted, you are telling us that you accept the modified terms.

If you have a separate written agreement with Vaultt that states it supersedes these Terms of Service, then to the extent there is any conflict between the documents, the provisions in your separate agreement apply.

Vaultt takes user privacy seriously. In particular:

Any personal information you provide to us will be handled in line with our Privacy Policy, which explains what personal information we collect, how and why we collect, store, use, and share it, your rights in relation to your personal information, and how to contact us and supervisory authorities in the event of a query or complaint.

Vaultt does not permit third parties to collect candidate data, company data, job descriptions, or other marketplace information in bulk from our Services through the use of automated scripts ("scraping"), or similar technologies or methodologies.

Vaultt uses certain user-provided information — including profile details, skills, uploaded documents, tasks completed through the recruitment process, and activity within the Service — to operate and improve AI-powered features within the platform. These features include, without limitation, semantic search, intelligent matching between candidates and companies, automated relevance ranking, recommendation systems, and internal model training to improve the accuracy and performance of our Services. All AI processing is conducted in accordance with our Privacy Policy. Vaultt does not sell personal information or use it to train external third-party AI models. Candidate data processed for these purposes is handled securely, is not publicly disclosed, and is used solely to enhance the functionality, efficiency, and quality of the Vaultt platform.

1. Account Creation

You need an account to use Vaultt. You can create an account as a candidate seeking job opportunities, projects, or roles, or as a company looking to connect with talent. You agree not to misrepresent any information about yourself in creating or using an account.

By creating a User Account, you submit a binding offer to enter into an agreement for the use of the Service in accordance with these Terms of Service and the Privacy Policy (the "Agreement").

1.1. Creating a Candidate Account:

To create an account, you must be at least 18 years old. If you are not 18 years of age, please have a parent or legal guardian assist you in creating an account.

You may create your account directly through the Vaultt platform. You have the option to provide additional information when creating your account, such as a profile picture, professional skills, and uploaded documents including your CV or portfolio. Any information or content you upload to Vaultt is governed by these Terms of Service.

You agree that any information you provide through account registration is accurate, current, and complete, and you agree to update your information as necessary to maintain its accuracy. You are prohibited from creating an account for anyone other than yourself.

1.2. Creating a Company Account:

To create a Company account, you must go through Vaultt's approval process. Company accounts are subject to a fee, as determined by Vaultt, and are only activated after payment is received. You are prohibited from creating an account for anyone other than your company, unless you have received express authorisation to do so on their behalf.

When you create a Vaultt Company Account, we request contact information, including email address and telephone number, to provide a point of contact for candidates and administrative staff. You have the option to set your profile as "public" or "private" during account creation, and may change your account visibility at any time by opening User Settings from the Account Dashboard.

You agree to provide accurate and current information and to correct any misrepresentations immediately upon discovery. By creating a Company Account, you represent and warrant that you own or have obtained all rights necessary to allow Vaultt access to and processing of any data, materials, or information you provide, and you authorise Vaultt to access, use, and display such information for the purpose of providing the Service.

2. Candidate Account Guidelines

Your Vaultt profile is your first impression for companies. Keep your content and communications on Vaultt professional. You are not allowed to post any violent, nude, discriminatory, hateful, or sexually suggestive content via the Service. You are responsible for all content you upload to Vaultt.

You agree not to use the Service for any illegal or unauthorised purpose, including spam, copyright infringement, identity theft, or fraud.

You agree you will not attempt to restrict another user from using or enjoying the Service, and you must not encourage or facilitate violations of these Terms of Service.

3. Task-Based Recruitment Process

Vaultt offers a task-based recruitment process, where candidates may be required to complete a task related to a role they are applying for. Tasks are designed by the company or, in some cases, by Vaultt or third parties. Candidates may receive feedback on their task performance, which may be used to improve their chances of securing the role.

By participating in the task-based recruitment process, you agree that any tasks you complete and any feedback you receive may be shared with the company offering the role and, in some cases, with third parties involved in the recruitment process.

All rights to tasks completed as part of the recruitment process are owned by Vaultt. Vaultt reserves the right to use, modify, distribute, or repurpose these tasks in any way it deems appropriate. Tasks will remain anonymous, and no personally identifiable information will be associated with them.

4. Company Account Guidelines

Through the Service, companies can post job opportunities, projects, and roles, and interact with candidates. You agree to maintain a fair and equitable recruitment process when selecting candidates. You also agree not to discriminate based on ethnicity, national origin, religion, age, gender, sexual orientation, disability, or veteran status as prohibited by law.

You have the ability to contact candidates directly through the Service. By using this Service, you agree not to stalk, defame, bully, harass, abuse, threaten, intimidate, or impersonate any people or entities.

Company Accounts are administered by the company's designated account administrators. If the company chooses to allow additional individual employees to access Vaultt through the Company Account, the account administrators are responsible for the use of the Service by those individuals.

5. Paid Services for Companies

Vaultt charges companies a fee to use the platform. The use of the Service is subject to the payment of fees, as determined by Vaultt, and as may be modified from time to time ("Fees"). All fees are non-refundable and may be processed through a payment partner.

By initiating an order for Paid Services, you authorise Vaultt to request and collect payment through our payment provider, and to make any inquiries necessary to validate your designated payment account or financial information. If your payment method fails or is not authorised or accepted, Vaultt reserves the right to cancel your order without notice and with no further liability or obligation to you.

6. No Spam

Vaultt is a platform where companies and candidates connect productively. While we allow companies to contact candidates, we do not allow you to use the Service to send unsolicited marketing messages or broadcasts (i.e., spam).

If we determine that you have sent spam or other unauthorised content, we may take any action we deem necessary to protect our users or the Service, including demanding that you cease violating these Terms of Service, or suspending or terminating your account(s).

7. Termination

You may terminate the Agreement, and thereby your User Account, at any time for any or no reason by sending an email to hello@vaultt.io.

We reserve the right to suspend or terminate your account(s) for violation of these Terms of Service or any other policies associated with the Services.

8. Account and Platform Security

While we take steps to protect your data from unauthorised access, security is a shared responsibility. You are responsible for keeping your password secret and secure, and we encourage you to update it regularly.

By using this Service, you agree not to change or modify the Service to falsely imply that it is associated with another website. Creating accounts through unauthorised means, including scripts, bots, or automated crawlers is prohibited, as is collecting content through crawling, scraping, or caching of user profiles without our express consent.

You must not attempt to restrict another user from using or enjoying the Service, and you must not encourage or facilitate violations of these Terms of Service.

9. Third-Party Links

Our Service may contain links to third-party websites, apps, services, and resources (collectively "Third-Party Services") that are not under Vaultt's control. We provide these links only as a convenience and are not responsible for the content, products, or services available from Third-Party Services. You acknowledge sole responsibility and assume all risk arising from your use of any Third-Party Services.

10. Disclaimer of Warranties

The Service is provided on an "as is," "as available," and "with all faults" basis. To the fullest extent permissible by law, neither Vaultt nor any of its employees, partners, managers, officers, or agents (collectively, the "Vaultt Parties") make any representations or warranties or endorsements of any kind whatsoever, express or implied, as to the Service or the security associated with the transmission of information to Vaultt or via the Service.

11. Indemnification

Unless prohibited by law, you agree to defend (at Vaultt's request), indemnify, and hold the Vaultt Parties harmless from and against any claims, liabilities, damages, losses, and expenses, including without limitation, reasonable attorney's fees and costs, arising out of or in any way connected with your use of the Service or your breach of these Terms of Service.

12. Governing Law and Dispute Resolution

These Terms of Service and the resolution of any disputes shall be governed by and construed in accordance with the laws of England. Any disputes arising out of or relating to these Terms of Service shall be resolved through arbitration in accordance with the rules of the relevant arbitration authority.

13. Entire Agreement

These Terms of Service and any other policies referred to in them constitute the entire agreement between you and Vaultt and govern your use of the Service, unless you have a separate signed agreement with Vaultt that states it supersedes these Terms of Service.
